Terms and conditions

These terms govern the purchase and use of the software products offered by Materis , operated by Materis Network (tax ID 10746538745). By buying or using any of our products you accept what follows.
These are the terms of Materis as a company and they govern the purchase: they apply equally to all our products, including those we publish later. Each product then adds its own use and privacy documents, because that does depend on what each piece of software does; clause 13 explains how they combine with these.
1. What is sold
We sell licences to use software, not ownership of the software or its source code. Each licence enables the use of the product on the number of devices set out in the contracted plan, for the contracted term.
The licence is personal and non-transferable. It may not be resold, sublicensed or assigned to a third party without our written authorisation.
2. Prices and payments
- Published prices are expressed in the currency each plan states and include any applicable taxes.
- Payment is made in advance, before the licence is issued or renewed.
- We may update prices at any time. A price change does not affect a period already paid for: if one reaches you, we tell you before the next renewal.
- We issue a payment receipt for every charge. For an invoice we need your tax ID and company name before issuing it.
3. Delivery
Delivery is digital: once payment is confirmed we send the licence key — or the licence file, depending on the product — to the email you registered. Keeping that email current and accessible is your responsibility; it is also the address the licence is validated against on activation.
4. Activation and devices
Products are activated against our servers and become associated with the device they are installed on. The plan defines how many devices a licence can have active at the same time. If you change device, we can release the previous slot on request; that is a support task and doesn't consume a new licence.
The licence needs to be validated against our servers periodically. An installed product can keep working offline for the tolerance period each product documents, after which it needs to be validated again.
5. Renewal and term
Licences with a term are renewed only by paying for the following period: there are no automatic charges without your confirmation. Once the term expires without renewal, the product stops being enabled. One-off licences don't expire.
6. One product, one licence
While you hold a current licence for a product, you don't accumulate separate licences for the same product: if you need more devices, the one you have is extended. Buying the same product again doesn't create a second licence in parallel, because that would leave you with two keys, two expiry dates and two charges for the same thing.
The extension is requested from your panel (panel.materis.io) and is charged under clause 7. If you bought again by mistake, write to us and we'll handle it as a plan change.
7. Plan and device count changes
You can extend your plan or your device count whenever you like. These are the billing rules:
- You only pay the difference for the remaining stretch. You're credited for what you already paid for the rest of your period and charged what the new plan would cost over that same stretch. You're neither given free days nor charged twice. The amount is worked out at the moment you confirm, rounded in your favour, and is the one shown in the charge summary.
- Your renewal date doesn't move. Extending doesn't restart the term: you keep renewing on the same day you already had.
- From that renewal you pay the new plan's full rate. It's a different rate — usually higher — from the one you were paying, and we state it both in the payment link and in the confirmation email.
- The change applies when the payment clears. Requesting it changes nothing yet; if you don't complete the payment, you stay exactly as you were and nothing is charged.
- Your licence key doesn't change and the devices you already had activated stay activated: nothing needs reinstalling or reactivating.
- Mid-term, the change is one-way. You can't move down a plan or reduce devices before renewal, and the difference paid for an extension isn't refunded.
- There is one route to fewer devices. You cancel the subscription from your portal, carry on using it as normal until the expiry date and, from then on, take out a new one with the devices you want. It can't be reduced earlier because that would mean refunding money for a period already under way. Bear in mind that taking out a new subscription issues a new licence key: unlike an extension, here you do have to activate your devices again.
8. Payment links
Every charge is sent as a personal link, by email or from your panel. Don't share it: whoever holds it can pay it.
- The link expires fifteen (15) days after it is issued. Once expired, a new one is requested and recalculated at the day's prices.
- While it is valid, the amount, the period and the terms are frozen: if we update prices between issuing and payment, what your link says is honoured.
- If you request another change before paying, the previous charge cancels itself: you won't have two live charges for the same thing. The only one we can't replace is a payment you have already declared to us or that has already gone out to the gateway, because it may clear at any moment.
9. Receipts
For every cleared charge you receive a PDF receipt, by email and downloadable from your panel. The type of receipt depends on the details you register before paying: for an invoice we need your tax ID and your company name. Amounts are expressed in the currency of your contract.
10. Support
The main channel is your customer portal: there you open a ticket, it is put on record and you can follow the conversation and come back to it whenever you want. We also handle support by email at support@materis.io, which always works and is the way in if you can't reach the portal.
Support covers the operation of the licensed product; it doesn't cover the customer's infrastructure, third-party equipment or custom development.
11. Limitation of liability
Our products are supporting tools: the decisions you make with them are yours. To the fullest extent the law allows, our liability for any claim is limited to the amount actually paid for the licence over the last twelve months.
We are not liable for interruptions caused by third parties (internet providers, payment platforms, operating systems) or for uses of the product other than those documented.
12. Misuse
We may suspend or revoke a licence if the key is shared, activation is circumvented, the product is used for unlawful activities or these terms are breached. Where a licence is revoked for misuse, no refund applies.
13. What this page settles and what each product settles
Everything to do with the purchase — price, payment methods, delivery, term, renewal, plan changes, refunds and receipts — is governed by this page, and applies equally to all our products: it doesn't change from one to another.
What belongs to each product is how it is used and what data it handles, because they don't all do the same thing: one may read the network it's installed on and another be a tool that touches nothing of yours. That's why each product publishes two documents on its own site:
- Its licence terms of use: what the product lets you do, what it doesn't, and what the application does on your device.
- Its privacy policy: what data that specific software handles, which of it leaves your device and which never does.
Both complement this page and don't replace it: for purchase matters this one governs, and for the product's use and data theirs does. If a particular text were nonetheless to contradict this document, the particular one prevails only in whatever is more favourable to you. And what you contracted — the plan, the number of devices, the term and the price shown on your receipt — prevails over any general description.
14. Personal data
The processing of your data is governed by our privacy policy.
15. Exchanges, refunds and complaints
The exchange and refund terms are in the exchange and refund policy. If something didn't go as expected you can take your case to the Complaints Book.
16. Changes to these terms
We may update this document; the date above indicates the version in force. Changes apply from publication and are not applied retroactively to a period you have already paid for: what you contracted is governed by the terms published when you contracted it. When a change affects you materially, we tell you by email before your next renewal, and renewing amounts to accepting the version in force at that time.
17. Governing law
These terms are governed by the laws of the Republic of Peru. Any dispute is submitted to the courts of the judicial district corresponding to the provider's address, without prejudice to the rights that consumer protection legislation grants the consumer.
